Sears Holding Inc. agreed not to solicit Restoration Hardware investors to sell their shares in exchange for being allowed to review the upscale home furnishing multichannel merchant’s confidential financial information. In late November, Sears offered $6.75 per share in cash to acquire Restoration Hardware. However, Sears also asked for confidential information to submit a binding offer, a request that Restoration Hardware denied because Sears failed to signed a standstill agreement. Sears already owns a 13.7% stake in Restoration Hardware.
