PC Mall Inc. completed its spinoff of eCOST.com Inc., PC Mall said yesterday.
PC Mall, Torrance, CA, markets computers and accessories for businesses, government and educational institutions through its PC Mall and Mac Mall catalogs and Web sites. ECOST.com is a discount retailer of new, closeout and used brand-name merchandise for consumers and small businesses that went public last year.
On March 28, PC Mall distributed to its stockholders all 14 million shares of eCOST.com common stock that PC Mall owned prior to the spinoff. Each holder of PC Mall common stock as of the record date became entitled to receive about 1.2071 shares of eCOST.com common stock for each share of PC Mall common stock held. As a result of the distribution, PC Mall no longer owns any shares of eCOST.com.
