*Whitehat.com, ACG Merge

NEW ORLEANS -- E-mail marketer Whitehat.com and American Computer Group, a data management firm for direct marketers, were expected today to announce plans to merge into a single company called Whitehat Inc. Internet entrepreneur and anti-spam advocate Rodney Joffe founded the two firms, both based in Tempe, AZ, and continues to serves as their chairman.

The announcement was expected at the Direct Marketing Association's fall conference here.

Whitehat Inc. seeks to provide one-to-one targeted marketing services for both the online marketing industry and the offline DM field. Its menu of services will include list audit and certification, list development and e-mail distribution, list management, customer relationship management, data mining, list rental and order fulfillment, and DM mailings.

"Combining these two organizations gives us the ability to provide everything necessary for a coordinated, multimedia marketing campaign," Joffe said in a prepared statement.

As a result of the deal, Joffe will assume the role of chairman at Whitehat Inc. ACG President/CEO Tom Castellanos and Whitehat.com CEO Ann Ewen will retain senior executive positions in the new firm. Whitehat Inc. is seeking investor funding and recruiting.

Joffe said the merger is subject to shareholder approval and is expected to close by Dec. 31.
